Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2016, Mike Calise was appointed to the Board of Directors (the “Board”) of Car Charging Group, Inc. (the “Company”). Mr. Calise has served as the Chief Executive Officer of the Company since July 29, 2015. As a Director, Mr. Calise will receive the standard compensation provided to Directors which includes (1) 5,000 options with exercise price $0.01 above closing price on the date of board meeting and (2) $1,500 cash or $3,000 worth of common stock, based on the closing price on the date of the meeting.
