1. BUSINESS ORGANIZATION, NATURE OF OPERATIONS AND BASIS OF PRESENTATION

Organization and Operations

Blink Charging Co., through its consolidated subsidiaries (collectively, the “Company” or “Blink”), is a leading owner, operator, and provider of electric vehicle (“EV”) charging equipment, networked EV charging services, and energy management solutions in the U.S. and international EV markets. Blink offers a comprehensive portfolio of EV charging equipment, charging services, and energy management solutions designed to support EV adoption, optimize charging infrastructure, and improve energy efficiency.

Blink’s principal products and services include its proprietary Blink EV charging network (the “Blink Network”), EV charging equipment, charging services, and its EnergyConnect energy management solution.

The Blink Network is a proprietary, cloud-based platform that operates, maintains, and manages Blink charging stations and supports associated charging data, back-end operations, and payment processing. The Blink Network provides fleets, property owners, managers, parking companies, and state and municipal entities (“Property Partners”), among other commercial customers, with cloud-based services that enable the remote monitoring and management of EV charging stations. The Blink Network also provides EV drivers with essential station information, including station locations, availability, and applicable charging fees.

EnergyConnect, Blink’s energy management solution, is designed to help commercial customers and charging site operators monitor, manage, and optimize energy consumption associated with EV charging infrastructure. The solution supports intelligent management of charging loads, including the ability to adjust charging activity based on site-level electrical capacity, energy demand, and operational requirements. Through enhanced visibility and control over energy usage, EnergyConnect is intended to help customers improve energy efficiency, manage peak electricity demand, reduce energy-related operating costs, and support the integration and scalability of EV charging infrastructure.

Basis of Presentation

The accompanying unaudited condensed consolidated financial statements have been prepared in accordance with accounting principles generally accepted in the United States of America (“U.S. GAAP”) for interim financial information and with the instructions to Form 10-Q and Article 8 of Regulation S-X. Accordingly, they do not include all of the information and disclosures required by U.S. GAAP for complete financial statements. In the opinion of management, such statements include all adjustments (consisting only of normal recurring items) which are considered necessary for a fair presentation of the condensed consolidated financial statements of the Company as of  September 30, 2026 and for the three and nine months then ended. The results of operations for the three and nine months ended September 30, 2026 are not necessarily indicative of the operating results for the full year ending  December 31, 2026 or any other period. These unaudited condensed consolidated financial statements should be read in conjunction with the audited consolidated financial statements and related disclosures of the Company as of  December 31, 2025 and for the year then ended, which were filed with the Securities and Exchange Commission (“SEC”) on March 31, 2026 as part of the Company’s Annual Report on Form 10-K.
